Terms of Use
Effective date: November 6, 2026 · Version: 2
1. Agreement
These Terms of Use are a contract between you and Veridian Vantage Solutions LLC, a Florida limited liability company ("Veridian," "we," "us"). They govern your use of Veridian Tennis, including the website, the installable app and related services (the "Platform").
You accept these Terms by checking the acceptance box when you create an account, or by using the Platform after that. If you do not agree, do not use the Platform.
2. What the Platform is
The Platform connects tennis students, coaches and tournament participants. It lets people find coaches, book lessons, message each other, enter tournaments and follow results.
Veridian is not a tennis school and does not provide lessons. Coaches are independent. They are not our employees, agents or partners, and they decide how they teach. The lesson contract is between the student and the coach.
We do not own or operate courts. We do not guarantee that any coach, student, lesson or court will be suitable, safe or available.
When we approve a coach, we only confirm that the coach's profile met our listing requirements at that time. Approval is not a recommendation, a certification or a guarantee of skill, credentials, identity or background. Any information about certifications or background checks comes from the coach unless the Platform says otherwise.
3. Eligibility and accounts
You must be at least 18 years old to create an account. A minor may take lessons only through an account held by a parent or legal guardian, who accepts these Terms and signs any required waiver for the minor.
You agree to give accurate information, keep it current, keep your password private and hold only one account. You are responsible for activity on your account. Tell us promptly if you believe someone else has used it.
You may sign in with a third-party account such as Google or Apple. That provider's terms also apply to that sign-in.
4. Coaches
To appear on the Platform, a coach must apply and be approved by us. We may decline, suspend or remove a coach at our discretion.
As a coach, you represent that everything in your profile is true and that you hold every license, permit, certification and insurance your work requires. You set your own hours, prices, cancellation rules and rain rule, and you choose whether to accept each lesson.
You are an independent contractor. Nothing in these Terms creates employment, partnership, franchise or agency. You are responsible for your own taxes, expenses and equipment, and for any court fees or permissions.
You agree to teach with reasonable care and to follow all laws that apply to you, including laws on working with minors. You are solely responsible for your conduct with students.
We decide the order in which coaches are shown and may change how we do this at any time.
5. Booking lessons
A student requests a lesson by choosing a coach, date and time. The lesson is confirmed only when the coach accepts it. The price, cancellation rules and rain rule shown when you book are saved with the lesson, and later changes by the coach do not affect it.
Lesson times are shown in the coach's time zone unless the Platform says otherwise.
Group lessons. If a coach offers them, a student may leave a lesson open to others. A new student joins only after the coach and every student already in the lesson approve. The lesson price then follows the coach's group prices, saved when the lesson was booked, and is divided equally. When someone joins, the price per student goes down and anything already paid above it is refunded. If someone leaves, the price per student does not go up, and the cancellation rules apply to the student who left.
6. Prices and payments
Coaches who accept card payments. The price is the amount shown before you book. To send your request, you authorize a hold on your card for that amount.
- Your card is charged only if the coach accepts.
- If the coach declines, or does not answer within about six days, the hold is released and nothing is charged.
- If you leave the payment page without finishing within about 30 minutes, the request lapses and the time becomes available again.
How coaches are paid. After the charge, the money goes to the coach's Stripe balance, net of our commission. It stays there until the release date, which is the later of (a) 7 days after the charge and (b) the end of the lesson. We then instruct a payout to the coach's bank account. Stripe and the coach's bank control how long that transfer takes.
We may delay a release while a refund, card dispute or complaint about that lesson is open. This hold is a timing control on payouts. It is not an escrow service, and neither Veridian nor Stripe acts as an escrow agent.
Commission. We keep a commission of 10% of each lesson price. It comes out of the coach's amount and does not increase the price the student pays. If a lesson is partly refunded, the commission is reduced in proportion. We will show any change to the commission before it applies, and it will affect only lessons booked after the change.
Coaches who do not accept card payments. The Platform shows this before you book. The student and coach settle the price and any cancellation fee directly. Veridian does not collect that money, is not a party to that payment and does not guarantee it.
Coaches are responsible for any taxes on what they earn. We may report payments to tax authorities and may ask coaches for tax information to do so.
7. Cancellations, rain and refunds
Before the coach accepts. A student may cancel a pending request at no cost, and the card hold is released.
Student cancels a confirmed lesson. The coach's cancellation rules saved with the lesson apply. These rules set what share of the price the coach keeps, based on how many hours remain before the lesson. The Platform shows the amount before you confirm. The rest is refunded to your card.
Coach cancels. The student receives a full refund.
Rain. Only the coach can cancel a lesson for rain. The rain rule saved with the lesson applies. If the rule is to reschedule, the student receives a full refund and may book a new time. If the rule is to charge, the lesson is cancelled and the price is not refunded. Coaches agree to use this function only when weather actually prevents the lesson.
Missed lessons. If a student misses a confirmed lesson, the price is not refunded unless the coach agrees. If a coach misses a confirmed lesson, or a lesson did not take place as booked, contact us at rodrigokcastilhos@gmail.com before the release date. We may then hold the payment, review what happened and issue a refund.
Refund timing. Refunds go to the original card. Your bank decides when they appear. If a refund cannot be completed at once, we keep trying, and the related payout stays on hold until it is done.
8. Stripe
Payment services are provided by Stripe, Inc. and its affiliates ("Stripe"). Veridian is not a bank, and we do not store full card numbers or coaches' bank account numbers. Those details are entered on Stripe's pages.
For coaches: payment processing services on Veridian Tennis are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By accepting these Terms or continuing to operate as a coach on the Platform, you agree to be bound by those agreements, as Stripe may modify them. You agree to give us accurate and complete information about you and your business, and you authorize us to share it and related transaction information with Stripe.
9. Card disputes and amounts owed
If you have a problem with a charge, please contact us at rodrigokcastilhos@gmail.com first so we can try to fix it. This does not limit any right you have with your card issuer.
If a student disputes a card charge, the related payout is held until the dispute ends. Coaches agree to provide information we reasonably ask for to respond.
A coach is responsible for refunds, card disputes, dispute fees and other amounts that arise from that coach's lessons, except where the cause is our error. We may recover those amounts by reversing funds from the coach's Stripe balance, deducting them from future payouts or invoicing the coach.
10. Messages and contact details
Students and coaches communicate through the Platform's chat. Do not share or ask for phone numbers, email addresses, social media handles or links in chat, profiles, lesson notes or reviews. The Platform may block such messages automatically.
Messages are stored and cannot be edited or deleted by users. We do not routinely read them. We may access them when needed to investigate a complaint or a suspected breach of these Terms, to protect someone's safety, or to meet a legal obligation. Administrators receive alerts about activity on the Platform, including who messaged whom, without the message text.
If you turn on notifications, we send alerts to your device. You can turn them off at any time.
11. Tournaments and rankings
Entering a tournament means you accept its rules, as shown on the Platform or by its organizer. Entries may need approval. Organizers run their events and are responsible for them.
Results are reported by players and may be confirmed, disputed and validated on the Platform. The organizer's or our decision on a result is final within the Platform. Rankings and tiers are for information only. They are not official ratings of any tennis federation, and we may correct them.
12. Reviews and your content
You own what you post. You give us a worldwide, non-exclusive, royalty-free license to host, display, adapt and share it as needed to run and promote the Platform.
Reviews must be honest and based on a real lesson. We may remove content that breaks these Terms, but we do not remove a review only because it is negative. Coaches may reply publicly. Assessments and notes a coach records about a student are the coach's opinion.
You are responsible for what you post and confirm that you have the right to post it, including any photos of other people.
Profile photos and video. Your photos and video must show you, so others can recognize you at the court. Do not post anyone under 18, or anyone who has not agreed. Coach photos are public. Student photos are shown only to people connected to you through a lesson or tournament.
13. Acceptable use
You agree not to:
- break any law or anyone's rights
- harass, threaten, discriminate against or endanger anyone, especially minors
- post false information, impersonate anyone or offer fake reviews
- misuse payments, make fraudulent card disputes or fake bookings
- get around the contact rules in Section 10
- copy, scrape, attack, overload or reverse engineer the Platform
- access another person's account or data without permission
The Platform, its name, logo, software and design belong to Veridian or its licensors. We give you a limited, revocable, non-transferable right to use the Platform for its intended purpose.
14. Physical activity and risk
Tennis carries a risk of injury, including falls, strains, heat illness and being struck by a ball or racket. You should check with a doctor if you have any doubt about your fitness. You choose to take part, and you are responsible for your own health and safety.
15. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not promise that the Platform will be uninterrupted or error-free. We are not responsible for the lessons, advice, conduct or property of coaches, students, organizers or third parties.
16. Limit of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, VERIDIAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE COMMISSIONS WE RECEIVED FROM THE LESSONS INVOLVED IN THE CLAIM AND (B) US$100. Nothing in these Terms limits liability that the law does not allow us to limit.
17. Indemnity
You agree to defend and hold Veridian harmless from third-party claims and costs, including reasonable attorneys' fees, that arise from your breach of these Terms, your content or your conduct. Coaches also agree to do so for claims arising from their lessons.
18. Suspension and closing an account
We may suspend or close an account, or remove content, if we reasonably believe these Terms were broken, someone is at risk, or the law requires it. You may stop using the Platform at any time by contacting us at rodrigokcastilhos@gmail.com.
Lessons already paid for, and money owed to or by anyone, are still handled under these Terms after an account closes. We may keep records as the law and our legitimate needs require. Sections that by their nature should continue will survive, including Sections 7, 9, 12 and 14 to 20.
19. Disputes
Governing law. Florida law governs these Terms, without regard to conflict-of-laws rules.
Talk to us first. Before filing a claim, you agree to write to rodrigokcastilhos@gmail.com and try to resolve it for 30 days.
Courts. Any dispute will be heard only in the state or federal courts in Orange County, Florida.
Disputes between students and coaches about lessons are between them. We may help but are not required to.
20. General
Privacy. Our Privacy Policy, linked at the bottom of every page, explains how we handle personal information.
Changes. We may update these Terms. We will tell you at least 30 days before a material change takes effect, through the Platform or by email, and may ask you to accept the new version. The version that applied when a lesson was booked continues to apply to that lesson.
Language. These Terms are available in English, Spanish and Portuguese. If they differ, the English version controls.
Other terms. These Terms are the entire agreement on this subject. If a part is unenforceable, the rest remains in force. A failure to enforce a right is not a waiver. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, sale or reorganization.
